These transactions are usually defining moments for companies and their shareholders and we guide our clients through every stage of the process with rigor, discretion and senior-level attention. Our hands-on M&A services include, evaluating strategic alternatives and valuation considerations, developing strategic positioning and compelling marketing materials, identifying and engaging the most relevant strategic and financial buyers, coordinating diligence, negotiating deal terms and driving the transaction to a successful closing. As specialized advisors in FinTech, we have an extensive network of relationships with relevant strategic and financial buyers, build over decades, which helps us to ensure the success of your deal and maximize value for your shareholders.

Private Capital Raising

We advise FinTech companies on raising growth capital from institutional investors, including venture capital, growth equity, family offices, strategic investors, venture debt and private equity firms. We help companies secure the right capital partners on the right terms to support their long-term strategic objectives. Our capital raising services include, assessing capital needs and financing strategy, developing a compelling equity investment story, preparing marketing materials, identifying and engaging targeted investors and negotiating valuation and key investment terms. Our clients range from growth-stage companies raising institutional capital for the first time to mature businesses pursuing recaps or structured liquidity for existing shareholders. From preparation through closing, raising capital is time intensive - our services allow management teams to remain focused on running their business.

Industry Focus

We have decades of experience and relationships working with companies, buyers and investors across FinTech.

Key Areas of Focus

We have advised on dozens of successful M&A and capital raising transactions across the payments ecosystem. We understand both the operational complexity and the strategic value of businesses that sit at the core of money movement and we help companies optimally position their platforms with buyers and investors. Our experience spans a wide range of payments segments and technology layers, including:

  • B2B payments
  • Merchant acquiring
  • Payment gateways and orchestration platforms
  • Payment facilitators and ISV-led payment models
  • Bill payment and recurring payments platforms
  • Prepaid program managers and processors
  • Cross-border payments and money transmitters
  • ATM networks and related infrastructure
  • Software-led and embedded payments providers
  • Emerging PayTech and specialized payment platforms

The lines between software and financial services are rapidly blurring. Many B2B SaaS and ISV platforms now embed payments, lending and other financial capabilities directly into their offerings, creating powerful, vertically integrated and highly defensible business models. We advise software platforms at this convergence of SaaS and FinTech and we help management teams clearly articulate how embedded financial functionality enhances growth, margins, retention and strategic value in M&A and growth capital transactions. Our experience includes advising companies that offer:

  • B2B and vertical SaaS solutions with embedded payments
  • Billing, subscription and revenue management platforms
  • Financial workflow, treasury and accounting automation
  • Risk, fraud, identity and compliance solutions

We advise companies that power the underlying infrastructure of financial transactions. These platforms are mission-critical to financial institutions and increasingly central to digital transformation across the industry. We understand how scale, resiliency and long-term customer relationships drive value in transaction processing businesses. Our experience includes advising companies serving sectors such as:

  • Bank core and account processing
  • Mortgage and loan processing platforms
  • Fund administration and investor servicing
  • Securities and capital markets processing
  • Specialized and niche financial transaction processors

Our broader FinTech advisory experience spans a range of FinTech businesses modernizing financial infrastructure, distribution and user experience, including:

  • Digital lending and personal finance platforms
  • Data, analytics and decisioning technology
  • BankTech and MortgageTech
  • RegTech and compliance automation
  • WealthTech and digital investment platforms
  • InsurTech and insurance technology
  • Security, fraud prevention and risk management
